Joana Soares Studio

1. Definitions “Producer” refers to Joana Soares trading as Joana Soares Studio. “Client” refers to the individual or company commissioning the work. “Project” refers to the agreed video production services.

2. Scope of Work The Producer agrees to deliver services as outlined in the agreed proposal, quotation, or statement of work. Any additional services requested outside the agreed scope may be subject to additional fees.

3. Fees & Payment Terms

  • A non-refundable deposit of 30–50% is required to confirm booking and secure production dates.

  • The remaining balance must be paid within 30 days of invoice.

  • The Producer reserves the right to withhold final deliverables until full payment has been received.

  • Late payments may incur statutory interest in accordance with UK law.

4. Revisions

  • The Client is entitled to 2 rounds of revisions unless otherwise agreed in writing.

  • Additional revisions or significant changes to the original brief will be charged at an agreed rate.

  • Delays in feedback may impact delivery timelines.

5. Cancellations & Rescheduling

  • All deposits are non-refundable.

  • Cancellations made within 7 days of a scheduled shoot may be subject to additional charges to cover lost time and expenses.

  • Rescheduling requests will be accommodated where possible but are subject to availability.

6. Delivery

  • Estimated delivery timelines will be agreed prior to the project commencement.

  • Final deliverables will be supplied in the formats specified in the agreement.

  • Raw footage remains the property of the Producer and will only be supplied if agreed in writing and may incur additional fees.

7. Intellectual Property & Usage Rights

  • The Producer retains full copyright of all content created unless otherwise agreed in writing.

  • Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the final deliverables for the purposes outlined in the agreement.

  • Any extended usage, redistribution, or commercial licensing beyond the agreed scope must be negotiated separately.

8. Portfolio & Promotion The Producer reserves the right to use any completed project for promotional purposes, including but not limited to website, social media, and showreels, unless otherwise agreed in writing.

9. Client Responsibilities The Client agrees to:

  • Provide clear briefs, timely feedback, and approvals

  • Ensure access to filming locations and necessary permissions

  • Supply required assets (e.g., branding, scripts, references) in a timely manner

10. Liability

  • The Producer will carry out services with reasonable skill and care.

  • The Producer shall not be liable for any indirect, incidental, or consequential losses.

  • Total liability shall not exceed the total fees paid for the project.

11. Force Majeure The Producer shall not be held liable for any failure or delay caused by circumstances beyond reasonable control, including but not limited to illness, adverse weather, technical failure, or third-party disruption.

12. Confidentiality Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.

13. Governing Law These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

14. Acceptance By accepting a quotation, signing an agreement, or paying a deposit, the Client acknowledges and agrees to these Terms & Conditions.
